Modifying Your Federal Contract: M&As

You’re not stuck with what you agreed to. You can modify your federal agreement at any time. This includes mergers and acquisitions. One of my old bosses preached that modifications are just like mini offers.

You first need to talk to your assigned CO about the process of modifying your current federal contract. Sometimes, this information is presented to you in your award letter so you can have a leg up and do some reading before you discuss the way forward with them. The process is often generally outlined on the agency website in which you are dealing with. You may need to go treasure hunting, though. This is because each CO in the federal government has far too much paperwork on the desk to hold the hand of every vendor they deal with. That’s where I come in and that’s also why they fired me. I haven’t worked for all 12 agencies but together I’m sure that we can figure it out.

This includes mergers and acquisitions. The federal government calls those by a different name and distributes documents to each CO as to how those are conducted. The process is very straightforward. Each piece of documentation needed is already vetted by the corporation’s lawyers or a lawyer of the state in which those documents are specifically generated. It is my belief that big banking and big law have attempted to corner this process because when I started in 2013, each CO was allowed to complete the process without legal consent although it was recommended. Shortly after, we tied a bow on them with a mandatory legal review. Then in 2022, they were sent directly to the FO. Big businessmen and big firm lawyers get paid a pretty penny to do what a GS-07 used to do making $30k. You can go with them, but don’t let them scare you because your lawyers and the state’s lawyers have already vetted the documentation. The federal document is public and I can walk you through the process to completion just as well. Their advantage is that big law has passed the BAR but I’ve never seen one go to court. It doesn’t mean they haven’t, though. As for big banking, they salivate over COs looking for a change of scenery.

My advantage is that I am not overworked. I will bring energy to the project and love to make small talk and swap stories. A lot of those people do not. They don’t have the time. They have the money, though. Have you ever read the book or watched the movie “The Firm”? I’m owned only by God. I’m not married yet, either! So my wife won’t be impressed by a Mercedes or home remodel. My goal is only a helping hand in exchange for fair compensation.

This attitude comes from hearing stories of my mother, my aunt and late uncle of walking beans and doing other farm chores in the sweltering Iowa summer. They said my late grandfather who served in the Korean War would make things bearable by cracking jokes and encouraging childlike play during the process because that’s how he and his buddies got through wartime.

My affinity for swapping stories comes from my grandparents and father operating a small town gas station. That was the meeting hub for the townsman before they started their day and where they would all go before they ended it. You can learn a lot by just talking and listening and I love to learn just as much as I love to meet new people.
